Health Outcomes Code-a-Thon Contest

Official Rules

By entering the Grey Healthcare Group Health Outcomes Code-a-Thon contest (“Contest”), you agree that your participation will be governed by, and that you shall comply with, all of the following terms and conditions (“Official Rules”) and represent that you satisfy all of the eligibility requirements set forth below.

 

1.             Mission.  The goal of the Contest is to support the formation of new ideas and prototypes that improve health outcome measures as they relate to the Affordable Care Act and the larger U.S. healthcare system. Contest entrants are invited to submit their original idea and a prototype of an operable application that would improve/ benefit healthcare services in the U.S. through improvement in health outcomes in adherence to treatment, rates of hospital readmission and patient engagement.  Entrants will need to flesh out concepts, develop wireframes and basic prototypes that illustrate their innovative solution. Entrants are encouraged to use any available health APIs or health data sets such as HealthData.gov.

 

2.             Eligibility. Participation in the Contest is open only to legal residents of the 50 United States (& DC), who are 13 years of age and older. Contest is void elsewhere and where prohibited or restricted by law. Any eligible entrant under the age of 18 must have parental consent to enter the Contest. Employees, officers and directors of Grey Healthcare Group and other sponsors(“Sponsor(s)”), its subsidiaries, affiliates and their immediate families (parents, children, siblings, spouse) or members of the same household (whether related or not) of such employees/officers/directors, are not eligible to enter the Contest. 

 

3.             How to Participate in the Contest/Teams. The Contest will take place  in New York City on June 21 and 22, 2014 (“Contest Period”).  . The Contest will be held at 200 5th Avenue, New York, NY 10010 from September 20st, 2014 9:00 am to September 21st, 2014 6:00pm. Registration for the Contest and participation in the Contest is free. Contest submissions may be made by 3:30PM on September 21st.  Entry may be made, and Submissions may be created, either by eligible individuals alone or participating in groups (each such entrant, whether comprised of one eligible person or multiple eligible persons, shall be referred to herein as a “Team”).

 

Each Team must designate a single member of the Team who will serve as the Team’s sole representative for communications and all other purposes in connection with the Contest (the “Team Leader”). All agreements, consents, representations and warranties made or given by a Team Leader herein or otherwise in connection with the Contest will be binding upon all members of the pertinent Team as if made by each such member. The Contest submission and all other Team-provided entry material and information are collectively referred to herein as a “Submission.”

 

4.  Contest Submission Requirements.  All Submissions should be the original, unpublished and sole work of the respective Team.  Each Submission should include no more than 5 PowerPoint slides or PDFs of concepts, wireframes, screenshots and text that address each of the 5 Judging Criteria (see below). Working prototypes and websites may be presented to the judges to support the Submission but should not be included as part of the original Submission.  By entering, all Teams warrant and represent that (a) their respective Submissions are their own fully original creations, (b) their respective Submission (including, but not limited to, any materials integrated into their Submission) will not infringe or violate the rights of any third parties, including but not limited to patents, copyrights, trademarks and/or rights of publicity/privacy, and (c) any third party whose person or property appears in the Submission has given the Team appropriate written consent (which shall be provided to Sponsor upon request thereof) for such person or property to be used as part of the Contest Submission pursuant to these Official Rules. Submissions must be wholly create during the Conference and not reflect any prior work done before the start of the Conference.

 

By entering, each Team further agrees that their Submission conforms to the guidelines and restrictions set forth below (collectively, the “Guidelines and Restrictions”). 

 

             No part of the Submission has been submitted previously in a promotion or contest of any kind.

             The Submission should not contain materials that violate or infringe any rights of any other party, including but not limited to patent, copyright, trademark, privacy, publicity or any other intellectual property rights;

             The Submission does not disparage Sponsor or any other person or party or entity;

             The Submission does not contain material that is inappropriate, indecent, obscene, violent, hateful, tortious, defamatory, slanderous or libelous;

             The Submission does not contain material that promotes bigotry, racism, hatred or harm against any group or individual or that promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation or age;

             The Submission does not depict or mention sex, violence, illegal drugs, alcohol or inappropriate language; and 

             The Submission does not contain material that is unlawful or in violation of or contrary to the laws or regulations of the United States.

 

Sponsor reserves the right to reject and disqualify from the Contest any Submission that it deems, in its sole discretion, to be inappropriate, for any reason whatsoever, including without limitation, failure to comply with the Guidelines and Restrictions or any other part of the Official Rules. Only fully completed Submissions that are in full compliance with these Official Rules are eligible. Each Team waives any claims against Sponsor concerning any of Team’s rights in the Submissions submitted in this Contest.  Submissions not satisfying any of these Official Rules may be disqualified. 

 

5. Selection of Winning Team; Judging Criteria. All eligible Submissions will be reviewed and judged by a panel of judges (“Judging Panel”) with the required knowledge and experience to apply the judging criteria outlined below, all subject to Team’s and Submission’s compliance with these Official Rules. The Judging Panel will consider the Submissions based on the following equally-weighted Judging Criteria:

•               Creativity & Innovation (20%): Is this a new idea? Does technology like this already exist? How innovative is the concept?

•               Decision Making (20%): Ability to illustrate how the conceptual designs and working prototype application/tools can promote better outcomes data-driven decision-making related to the outcome measures of treatment adherence, hospital readmission or patient engagement.

•               Outcomes Measures Data (20%): What outcomes measures will be affected by this concept? What valuable data will be created as a result? Can this concept be used to inform outcomes measures in addition to impacting them? 

•               Benefit for Users/ Ease of Use (20%): Would a patient/provider/administrator use this application? What would patients/providers/administrators gain from their experience using the application? How intuitive is the experience? Would the patients/providers/administrators find the application easy to use and understand?

•               Feasibility of Implementation (20%): Ability to implement the working prototype within a year’s time.

 

The decisions of the Judging Panel and Sponsor will be final and binding in all respects. Sponsor’s determination of the potential winning Team is subject to verification by Sponsor of the Team’s compliance with these Official Rules, including each Team member signing and returning of an Affidavit of Eligibility and Liability/Publicity Release, as set forth below.

 

6. Prizes; Prize Restrictions. The winning Teams, as selected by the Judging Panel, will receive:

                a. First Place Team  -  $5,000

                b. Second Place Team -  $1,500

                c. Third Place Team - $500

 

The total monetary prize amount is to be determined, awarded in the form of checks or another payment method selected by Sponsor, to be used towards further development by the winning Team of the winning Submission. In the event that the winning Team is comprised of more than one individual, the Team Leader shall receive and be solely responsible for the prize on behalf of the Team unless all members of the participating Team agree to distribution of funds to each individual member separately. Sponsors will have no responsibility for allocation of funds received as part of the Prize among Team members. All income taxes and any other applicable taxes on each prize are the sole responsibility of the Team. An IRS form 1099 will be issued, if required by law, to each Team or Team member receiving the prize. Prizes consist only of items expressly specified herein. Any costs or expenses associated with the acceptance or use of any prize (including, without limitation, additional transportation, meals, gratuities and incidentals) are the responsibility of the recipient. No substitution, cash redemption or transfer of right to receive any prize will be allowed, except at sole discretion of Sponsor. Sponsors reserve the right to substitute an alternate prize.

 

7. Notification. Sponsor will notify the potential winning Teams on the final day of the Contest Period. In order to qualify as a winning Team, at least one member of the Team must be available in attendance at the Contest and able to present to the Judging Panel. All potential winning Team members may be required to sign an Affidavit of Eligibility and Liability/Publicity Release and may be required to obtain releases from any and all third parties appearing in the Submission.  If a potential winning Team (or any member thereof) rejects the prize or in the event of noncompliance with these Official Rules or other Contest requirements, the prize will be forfeited and an alternate winner may be selected from among the next highest scoring Submissions. Upon prize forfeiture, no compensation will be given to the original potential winning Team. 

 

8. License; Usage. By entering the Contest, each Team (and each Team member) fully and unconditionally agrees to be bound by these Official Rules, which will be final and binding in all matters relating to the Contest.  By entering a Submission in the Contest, each Team grants Sponsor an irrevocable, nonexclusive, perpetual, worldwide, royalty-free right and license to use, display, publicly perform, modify, reproduce, publish, distribute, make derivative works of, sublicense or otherwise commercially and non-commercially exploit the Submission. Submissions may be cut, edited, reformatted, rearranged, combined with other materials and/or otherwise modified, in Sponsor’s sole and absolute discretion.  Team understands that each Submission may be displayed for viewing by the public. Each Team further understands that Submissions may be posted, shared or promoted by Sponsor or its affiliates or other third parties, some of whom may receive compensation from Sponsor, directly or indirectly, to post, share or promote a Submission. In addition, by entering, each Team and Team member agrees to the use of their names, likenesses, biographical information, Submissions and/or statements for purposes of advertising, trade, or promotion without further compensation, unless prohibited by law. As a condition to receiving the prize, the winning Team may be required to execute an assignment transferring and assigning all of their respective rights, title and interest, including but not limited to any copyrights or trademarks, in the Submission or any picture, video, or other intellectual property included therein. Each Team is responsible for determining the disposition of any intellectual property developed during the course of the Contest. Sponsor shall not be responsible for mediating disputes that arise relating to intellectual property ownership amongst any Team members or the Team and any third parties.

 

9. Release; Taxes. By participating in this Contest and submitting a Submission each Team (including, if applicable, each Team member) agrees to release Sponsor, additional Sponsors, and each of their parent, subsidiaries, agencies, divisions, affiliates, advertising and promotions agencies, representatives, agents, successors, assigns, employees, officers and directors (“Released Parties”) from any and all liability, for loss, harm, damage, injury, cost or expense whatsoever including without limitation, property damage, personal injury and/or death which may occur in connection with, preparation for, travel to, or participation in the Contest (and Conference), or possession, acceptance and/or use or misuse of prize or participation in any Contest-related activity and claims based on publicity rights, copyright/trademark infringement, patent infringement, intellectual property rights, defamation, or  invasion of privacy.  The Released Parties are not responsible for any damages, taxes, or expenses that a Team might incur as a result of this Contest or receipt of prize.  All taxes are the sole responsibility of the winning Team and its members.  

10. Indemnity. In addition to the liability release provided above, by entering the Contest and making a Submission, each Team (and each Team member) agrees to indemnify, hold harmless and defend the Released Parties, from and against the full amount of all claims, liabilities, actions, suits, proceedings, assessments, judgments, decrees, losses, fees, damages, settlement funds, and associated costs and expenses including attorney’s fees arising from or in connection with the Team’s participation, any use by Sponsor or the Released Parties of the Team’s Submission and/or the exercise by Sponsor or the Released Parties of any rights granted to it herein, including without limitation claims based on rights of privacy, rights of publicity, false light, defamation, copyright, patent and/or trademark infringement relating to the Team’s Submission. Notwithstanding anything herein to the contrary, in the event of any claim by a third party affecting or relating to the Submission, Sponsor shall have, in addition to any other rights available to it, at law or in equity, the right to immediately revoke any prize.

11. Cancellation.  Sponsor reserves the right to cancel the Contest for any reason (including, without limitation, an insufficient number of, or quality of, Submissions) in which case it shall be under no obligation to award the prizes. Further, Sponsor is not responsible if Contest or Conference cannot take place or if any prize cannot be awarded due to travel cancellations, or delays or interruptions due to acts of God, acts of war, natural disasters, weather or acts of terrorism.

12. Limitation on Exploitation of Materials. Each Team acknowledges that each of the Released Parties may have engaged and continue to engage in the development, production, acquisition and dissemination of materials that may be similar or identical to the Team’s Submission. The Released Parties may use information about the Submission in whole or in part, without any payment or other obligation whatsoever to the Team, if the Team’s Submission (a) is not unique, novel, original, and concrete so as to be entitled to protection under applicable laws, (b) has been made public by anyone at the time of its submission to Sponsor or otherwise is in the public domain, (c) would be freely usable by a third person if it had not been accepted as a Submission, or (d) is similar or identical to, or contains significant elements encompassed in, an idea, concept or material that has been independently created by either Sponsor or any third party. Acceptance by Sponsor of a Submission is not an admission by Sponsor of the novelty or originality of the Submission.

13. DISCLAIMER. NOTWITHSTANDING ANYTHING TO THE CONTRARY, IN NO EVENT WILL ANY OF THE RELEASED PARTIES BE LIABLE TO APPLICANT OR ANY TEAM FOR ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, LOSS OF REVENUES, LOST PROFITS, LOST CAPITAL OR OVERHEAD, WHETHER BASED ON BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, WHETHER OR NOT RELEASED PARTIES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

14. Disputes; Governing Law.  Teams waive all rights to trial in any action or proceeding instituted in connection with these Official Rules, including, without limitation, the Contest. Any controversy or claim arising out of or relating to these Official Rules and/or the Contest shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in New York City, New York.

THESE OFFICIAL RULES AND THE INTERPRETATION OF ITS TERMS SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF NEW YORK WITHOUT REGARD TO ITS CONFLICTS OF LAWS RULES. For any matters which are not subject to arbitration as set forth in these Official Rules and/or in connection with the entering of any judgment on an arbitration award in connection with these Official Rules and/or the Contest, the parties irrevocably submit and consent to the exclusive jurisdiction and venue of the state and federal courts located in New York City, New York. The parties agree not to raise the defense of forum non conveniens.
